Terms of Service

Please read these terms carefully before using the WAgent platform.

1. Acceptance of Terms

By accessing or using the WAgent platform ("Service"), operated by WAgent ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree, you must not use the Service.

2. Description of Service

WAgent is a multi-tenant SaaS platform that enables businesses to manage WhatsApp Business accounts, run broadcast campaigns, and deploy AI-powered conversational agents. The Service connects to WhatsApp through the official Meta Cloud API and provides tools for campaign management, contact management, AI chatbot configuration, and analytics.

3. Account Registration

  • You must provide accurate, complete, and current information when creating an account.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • Each account is associated with an organization. The organization owner is responsible for managing member access and roles (Owner, Admin, Member).
  • You must notify us immediately if you suspect unauthorized access to your account.

4. WhatsApp and Meta Cloud API Compliance

warningAs a user of WAgent, you must comply with Meta's WhatsApp Business Policy and Commerce Policy at all times. Violations may result in suspension of your account.

By using the Service, you agree to:

  • Comply with WhatsApp's Business Policy and Commerce Policy
  • Only send messages to contacts who have opted in to receive communications from your business
  • Not use the Service to send spam, unsolicited messages, or messages in violation of applicable laws
  • Provide a clear opt-out mechanism in your communications
  • Not use the platform to distribute prohibited content (including but not limited to illegal goods, adult content, misleading information, or discriminatory material)
  • Respect Meta's rate limits, messaging tiers, and quality guidelines

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable local, national, or international law or regulation
  • Infringe upon or violate the intellectual property rights or privacy of others
  • Transmit any malware, viruses, or other malicious code
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Resell or redistribute the Service without our express written consent
  • Use automated systems to extract data from the Service (scraping) beyond normal API usage

6. AI Agents and Content Responsibility

When you configure and deploy AI agents through the Service:

  • You are responsible for the content of your knowledge base, system prompts, and all AI-generated responses sent to your end-users
  • You must ensure that AI agent responses comply with applicable laws and Meta's policies
  • You must clearly disclose to your end-users when they are communicating with an automated AI agent
  • We do not guarantee the accuracy or completeness of AI-generated responses

7. Payment and Subscriptions

  • WAgent offers subscription plans (Free, Pro, Max) with varying feature limits. Plan details and pricing are displayed on our website and within the platform.
  • Paid subscriptions are billed monthly or annually through Stripe. You authorize us to charge your payment method on a recurring basis.
  • You may upgrade, downgrade, or cancel your subscription at any time. Downgrades and cancellations take effect at the end of the current billing period.
  • We reserve the right to change pricing with 30 days' advance notice. Continued use after a price change constitutes acceptance.
  • Refunds are handled on a case-by-case basis. Contact our support team for refund requests.

8. Intellectual Property

The Service, including its design, code, features, and branding, is owned by WAgent and protected by intellectual property laws. You retain ownership of all content you upload to the platform (contact lists, knowledge base documents, message templates).

By uploading content, you grant us a limited, non-exclusive license to use, process, and store that content solely to provide the Service to you. This license terminates when you delete your content or close your account.

9. Service Availability and Warranties

We strive to maintain high availability but the Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee:

  • Uninterrupted or error-free operation of the Service
  • Delivery of WhatsApp messages (which depends on Meta's infrastructure and policies)
  • Accuracy of AI-generated responses
  • Compatibility with all third-party systems or integrations

10. Limitation of Liability

To the maximum extent permitted by law, WAgent shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless WAgent, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party rights (including Meta's policies).

12. Termination

  • You may terminate your account at any time by contacting us or through the platform settings.
  • We may suspend or terminate your account immediately if you violate these Terms, Meta's policies, or applicable laws.
  • Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy and Data Deletion Policy.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated terms on this page and updating the "Last Updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising under these Terms shall be resolved through good-faith negotiation first, and if unresolved, through binding arbitration or the competent courts of the applicable jurisdiction.
